1. Acceptance of Terms
By creating an account, signing in, or otherwise using CannaXchange, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the service.
2. Eligibility and Account Registration
CannaXchange is intended for authorized representatives of licensed cannabis businesses that are permitted to participate in regulated wholesale cannabis commerce in Massachusetts, as applicable.
You agree to provide accurate registration and company information, keep login credentials secure, and promptly update account, company, contact, or license details when they change. You are responsible for activity that occurs under your account.
3. Licensed Cannabis Marketplace
CannaXchange is a business-to-business marketplace software platform designed for licensed Massachusetts cannabis operators and authorized users. Access may be limited based on application review, license information, company status, and other eligibility checks implemented in the product.
4. Marketplace Role
CannaXchange provides marketplace and software functionality that helps eligible participants discover inventory, list products, submit bids, manage marketplace activity, and coordinate accepted marketplace deals. Unless separately agreed in writing, CannaXchange is not the seller or purchaser of cannabis products listed by marketplace participants.
5. Listings and Product Information
Users are responsible for the accuracy and lawfulness of information they submit, including listings, product descriptions, quantities, pricing, certificates of analysis, uploaded documents, and other representations. CannaXchange does not independently verify every listing, certificate, lab result, or representation submitted by users.
6. Auctions and Bids
Certain listings may use auction or bidding workflows that allow eligible buyers to submit bids under the terms presented in the product at the time of bidding. Auction timing, visibility, and award behavior are controlled by the marketplace features then in effect. These Terms do not create separate cancellation, refund, or payment rules beyond the product’s implemented workflows.
7. Transactions Between Parties
When marketplace activity results in an accepted deal or similar commercial coordination record, buyers and sellers remain responsible for negotiating and completing payment, logistics, transfer documentation, and fulfillment directly between themselves.
CannaXchange does not process marketplace payments. Payment for cannabis inventory occurs directly between the licensed buyer and the licensed seller. CannaXchange is not a payment processor for wholesale cannabis transactions conducted through the marketplace.
8. Regulatory Compliance
Participants remain solely responsible for complying with applicable cannabis laws and regulations, licensing requirements, transportation and transfer requirements, recordkeeping obligations, and other legal duties that apply to their businesses and transactions.
CannaXchange is not the Metrc system of record. CannaXchange does not create regulatory manifests, validate Metrc transfers, verify Metrc compliance, or guarantee regulatory compliance for any participant or transaction.
9. Prohibited Conduct
You agree not to:
- provide false, misleading, or incomplete account, license, listing, or marketplace information;
- attempt unauthorized access to accounts, data, or systems;
- use the service for unlawful marketplace activity;
- interfere with, disrupt, or abuse the service or other users’ use of the service.
10. Intellectual Property
The CannaXchange name, logos, software, interface design, and platform content are owned by CannaXchange or its licensors. You may not copy, reverse engineer, or misuse platform materials except as needed to use the service as intended.
11. Third-Party Services
The service may rely on third-party hosting, authentication, communications, or infrastructure providers. CannaXchange is not responsible for third-party services outside its reasonable control, except as required by applicable law.
12. Availability and Changes to Service
We may modify, suspend, or discontinue features of the service. We do not guarantee uninterrupted access, uninterrupted marketplace availability, or that any particular listing, bid, or deal will complete.
13. Disclaimers
The platform is provided “as is” and “as available.” To the fullest extent permitted by law, CannaXchange disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. CannaXchange does not guarantee transaction outcomes, inventory availability, bid results, payment, transfer completion, or regulatory approval.
14. Limitation of Liability
To the fullest extent permitted by law, CannaXchange is not liable for indirect, incidental, consequential, special, punitive, or lost-profit damages arising from use of the platform or inability to use the platform, even if advised of the possibility of such damages.
15. Indemnification
You agree to defend, indemnify, and hold harmless CannaXchange and its personnel from claims, losses, and expenses arising out of your use of the service, your listings or marketplace activity, your content, or your violation of these Terms or applicable law.
16. Suspension / Termination
CannaXchange may suspend or terminate access, restrict marketplace privileges, or take other account actions where information is inaccurate, licenses appear expired or invalid, misuse is suspected, eligibility changes, or these Terms are violated. Existing application-status and account-access behavior in the product continues to apply.
17. Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules, to the extent consistent with the operating entity’s then-current legal structure.
18. Changes to Terms
We may update these Terms from time to time. The effective date above will be revised when material changes are posted. Continued use of the service after updated Terms are posted constitutes acceptance of the revised Terms, except where applicable law requires additional notice or consent.
19. Contact
Questions about these Terms can be sent through the CannaXchange Support or Contact pages.
